SNAPPLE – EAGLES'  KIDS CLINIC SWEEPSTAKES RULES
 
NO PURCHASE NECESSARY.  A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.  VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

TO ENTER:  Open only to legal U.S. residents, who are 18 years of age or older at time of entry.  Sweepstakes is only offered to residences of PA, NJ, MD and DE.  Sweepstakes begins November 1, 2007 at 12:00:01 a.m. EST and ends December 31, 2007 at 11:59:59 p.m. EST.  To enter, access the Sweepstakes web site at www.philadelphiaeagles.com and click on the icon to access the entry form.  Complete the entry form with your first and last name, complete address, email address, date of birth, and zip code.    All entries must be entered, received, and recorded by 11:59:59 p.m. EST on December 31, 2007.   There is a limit of (1) entry per participant per day (12:00:01 a.m. EST – 11:59:59 p.m. EST).  Any attempted participation in any manner other than expressly stated in these Official Rules is void and will NOT result in entry.  Neither the Snapple Beverage Corp., The Philadelphia Eagles LLC, Eagles Stadium Operator LLC, the National Football League, or any of its 32 Clubs (collectively ""the NFL""); nor any of their employees, representatives or agencies are responsible for lost, late, damaged, delayed, destroyed, misdirected, incomplete, illegible entries.  Once submitted, entries become the exclusive property of the Snapple Beverage Corp., and will not be returned.

PRIZE:  Twenty (20) Grand Prize Packages:  Attendance for one (1) Boy or Girl ages 5 – 13 years old to participate in a football skills instructional clinic if accompanied by his/her parent/legal guardian who has signed the event waiver.  The clinic will take place on a Saturday in February, 2008 from approximately 11:00 AM and 3:30 PM at the Philadelphia Eagles NovCare Complex practice facility located at One NovaCare Way, Philadelphia, PA  19145 in the Philadelphia Sports Complex.  Date and time are subject to change by Snapple Beverage Corp. and/or Philadelphia Eagles LLC.  The clinic activities will include drills for passing, punting, receiving, agility, the rules of football and sportsmanship.  There will be no contact or regulation game involved.  Representatives of the Philadelphia Eagles will conduct the clinic.  One Eagles player shall make an appearance at the clinic.  Following the clinic, winner and their guests will be invited to a behind the scenes tour of Lincoln Financial Field and a complimentary lunch will be served.  Approximate retail value:  $200 ($2,000). 

GENERAL CONDITIONS:  Winners will be selected on or about January 8, 2008 in a random drawing from all eligible entries received.  Snapple will conduct all drawings.  You need not be present to win.  Entrants agree to be bound by the Official Rules.  Participants agree (a) that Sponsor, The Philadelphia Eagles LLC, Eagles Stadium Operator LLC, the NFL and their respective parents, subsidiaries and affiliated companies, advertising and Sweepstakes agencies, and each of their respective officers, directors, employees, representatives and agents will have no liability whatsoever for, and shall be indemnified and held harmless by participants against any liability for any injuries, losses or damages of any kind to person(s), including death, or property resulting in whole or in part, directly or indirectly, from the acceptance, possession, misuse or use of any prize, or participation in this Sweepstakes or any Sweepstakes-related activities; (b) and acknowledge that said parties have neither made nor are in any manner responsible for any warranty, representation or guarantee, express or implied, in law or in fact, relative to any prize/prize component, including but not limited to, its quality, merchantability or fitness for the intended purpose, except for the written standard limited warranty which may be provided with the item from the item's manufacturer or by the service provider in conjunction with the provision of the service in question (however, the preceding excludes any warranties/representations/guarantees provided by Snapple relative to Snapple beverages); and (c) that winners of prizes grant (and agree to confirm such grant in writing promptly upon request) to Sponsor and those acting under Sponsor's authority the right to the use of winner's name, photograph, likeness, voice, image, statements and biographical information for advertising, trade, publicity and Sweepstakes purposes in any media now known or hereafter discovered, worldwide, including the World Wide Web without review, notification or approval, or further compensation, unless prohibited by law. Winners of prizes may be required to complete, sign, and return an Affidavit of Eligibility, a Liability Release and, where lawful, a Publicity Release within an indicated time after receipt of notification. For the twenty Grand Prize winners, completed and signed Affidavit of Eligibility, Liability Release and Publicity Release (where lawful) must be returned within (7) days of receipt of notification. (A fax copy of Affidavit/Release will be accepted and will have the same legal force and effect as the original document). A parent or legal guardian will be required to sign a release on behalf of any minor. If such documents are not returned within the applicable time period, or if any notification or prize is returned as non-deliverable, or if a winner of any prize is found to be ineligible or not in full compliance with these Official Rules, such prize will be forfeited and an alternate winner will be selected from among all remaining eligible entries received for the applicable drawing

LIMITATIONS OF LIABILITY:  While every reasonable effort will be made to maintain and accurately reflect a participant's Account Information (including but not limited to the number of times he/she has entered the Sweepstakes), Sponsor and The Philadelphia Eagles LLC, Eagles Stadium Operator LLC, the NFL assume no responsibility for delays or technological errors that may result in inaccurate information being reflected.  Neither Sponsor nor The Philadelphia Eagles LLC, Eagles Stadium Operator LLC, the NFL are responsible for lost, late, incomplete, stolen, misdirected, illegible or ineligible registrations, entries, or for any computer, telephone, satellite, cable, network, electronic or Internet hardware or software malfunctions, failures, connections, or availability, or garbled, corrupt or jumbled transmissions, service provider/Internet/website/use net accessibility, availability, or traffic congestion, or any technical error, or unauthorized human intervention, or the incorrect or inaccurate capture of registration, entry or other information, or the failure to capture, or loss of, any such information. Neither Sponsor nor The Philadelphia Eagles LLC, Eagles Stadium Operator LLC, the NFL are responsible for any incorrect or inaccurate information, whether caused by Website users, tampering, hacking, or by any of the equipment or programming associated with or utilized in the Sweepstakes and assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, technical error, theft or destruction or unauthorized access to the Sweepstakes Website. Sponsor, The Philadelphia Eagles LLC, Eagles Stadium Operator LLC, the NFL reserve the right, at their sole discretion, to disqualify any individual found, at their sole discretion, to be tampering with the registration/Sweepstakes or Website, or to be acting in violation of these Official Rules; or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any use of robotic, automatic, macro, programmed or like entry/registration methods will void all such entries by such methods, and disqualify any participant using such methods. Neither Sponsor nor The Philadelphia Eagles LLC, Eagles Stadium Operator LLC, the NFL are responsible for injury or damage to participants' or to any other person's computer related to or resulting from participating in this Sweepstakes or downloading materials from Website or use of  Website. If, for any reason, the Sweepstakes is not capable of running as planned by reason of, but not limited to, infection by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which Sponsor, in its sole opinion, deems could corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes and select winner(s) for the affected drawing(s) from among all eligible entries received for the affected drawing(s) prior to and/or after (as appropriate) the action taken by Sponsor or otherwise in a manner deemed by Sponsor, in its sole discretion, to be fair, appropriate and consistent with the spirit of these Official Rules. In case of dispute, entries will be declared entered by the authorized account holder whose email address is contained in the Account from which the entry was made.  "Authorized account holder" is defined as the natural person who is assigned to an email address by an Internet Access provider, Online Service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.  Sponsor, The Philadelphia Eagles LLC, Eagles Stadium Operator LLC, the NFL are not responsible for any typographical or other error in the printing of the offer, administration of the Sweepstakes or in the announcement of the prizes.
IN NO EVENT WILL SPONSOR, THE PHILADELPHIA EAGLES LLC, EAGLES STADIUM OPERATOR LLC, THE NFL, THEIR RESPECTIVE PARENTS, AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR SWEEPSTAKES AGENCIES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF THE WEBSITE OR DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SAID SITE. DISPUTE RESOLUTION/CHOICE OF LAW: Except where prohibited, participants agree that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes shall be resolved individually, without resort to any form of class action, and exclusively by an action in state or federal court located in the appropriate courts in the State of New York and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this Sweepstakes but in no event attorneys' fees; and (c) under no circumstances will participant be permitted to obtain awards for and participant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of participant and/or Sponsor and/or The Philadelphia Eagles LLC, Eagles Stadium Operator LLC, the NFL in connection with this Sweepstakes, shall be governed by, and construed in accordance with, the laws of the appropriate courts in the State of New York, without regard for conflicts of law doctrine of any jurisdiction.
